Our method of recycling excavated material handles the simpler materials that make up the largest flows in society. The mobile plant is expandable from simple recycling to more advanced. The washing part of the plant is developed by Finlay and fits well with Norditek's Screening plants and wind screens.

The plants can deal with muddy and sticky masses and obtain very small fractions. It is possible to obtain fractions down to 0.1 mm. This results in very high quality stone, soil and sand.

Here are some common methods to choose from:

Stabilizing soils

Clayey and unstable soils can be a major problem in construction projects. Digging out the unstable soil, excavating it and later filling it with stabilized masses takes a lot of time and is usually very costly. The same applies if you instead choose to use piling to stabilize the soil.

Screening plants with a lime mixer

A much more time and cost effective way to deal with unstable soils is to use a Screening plants with lime mixes. Depending on the soil properties, a method can be chosen where the unstable soil is dug up and screened through the Backers 3-fraction star screen. The material is quality assured when the oversized material is sorted out and the fine fraction, about 0-40mm, goes directly into the lime mixer on the machine, whereupon the stable mass is ready for use. The lime-enriched soil can then be spread out on a larger flat surface, which after irrigation hardens and becomes more durable for e.g. paving.

Screening plants and mixers

Another common method is to feed the lime-infused soil into a concrete truck/mixer directly from the sorting plant's discharge bath and add water. This procedure produces a runny mass that begins to "burn" within 24 hours and is then stable. The runny mass can be used to stabilize the soil around water and sewage pipes, or to make lime columns in soils with a lot of clay. Everything is done in the same place where the soil was first excavated and no mass has to be transported away to be prepared for production.

Washing of soils

The process of washing soils can vary depending on the type and degree of contamination. Here are some common steps that can be included in a washing process:

1. Dividing the soil: If the soil contains larger contaminants or objects, it can first be crushed or screened to achieve a more uniform particle size and facilitate the process.
2. Water washing: Water is added to the contaminated soil and mixed thoroughly to release and dissolve the contaminants. This can be done by spraying or flowing the water through the soil.
3. Separation: After the washing process, the water passes through the soil and the pollutants are dissolved and mixed with the water. The contaminants are then separated from the water by various methods, such as sedimentation, flotation, filtration or chemical processes. Several separation steps may be required to remove different types of pollutants.
4. Wastewater treatment: The water used for washing the soil can contain high concentrations of pollutants and must be treated before it can be released into the environment. Advanced treatment methods such as chemical treatment, evaporation, ion exchange or activated carbon can be used to purify wastewater and restore it to more environmentally friendly levels.
   

It is important to note that soil washing can be a complex process and requires careful planning and management of both the soil and the wastewater to avoid further contamination or environmental impacts. Furthermore, the effectiveness and suitability of the washing method may vary depending on the contaminants in the soil and the specific requirements and regulations for waste management in different areas.

Options for recycling soils

Mechanical sorting

This involves the use of mechanical processes to sort the soil based on size, shape or density. It can include the use of wind sieves and Screening plants to separate the soil into different fractions.

Sedimentation and flotation

This involves using differences in particle size and density to separate soil materials. By allowing the soil to stand still in a container or basin, particles of different densities can sink or float upwards, allowing them to be separated. Flotation is used to separate contaminated particles from the soil by exploiting differences in the hydrophobicity of the particles. By mixing the soil with water and adding flotation additives, some particles can float to the surface and be removed.

Magnetic separation

If the soil contains magnetic contaminants, magnetic separation can be used. By using magnets, magnetic particles can be separated from the surrounding soil.

Combined methods

Often a combination of different methods is used to achieve efficient sorting and recycling of soils. For example, mechanical sorting can be combined with sedimentation or magnetic separation to improve the efficiency and accuracy of the recycling process.

Using a mobile plant for recycling excavated material offers several advantages over a stationary . Here are some of the benefits of using a mobile plant:

1. Flexibility: A mobile plant is easy to transport between different locations, making it easier to carry out more recycling at multiple sites. This is particularly useful if you need to recycle excavated material at different construction sites, for example.
2. Time savings: With a mobile plant, you don’t need to transport excavated material to your stationary plant for recycling. Instead, you can recycle the material directly on-site, saving time and transportation costs. Setting up a stationary also takes a very long time by comparison.
3. Less environmental impact: By using a mobile facility for recycling excavated soil, you can reduce the environmental impact by reducing the transportation of materials. Moreover, recycled materials can be used on site instead of having to transport new materials.
4. Cost-effectiveness: Using a mobile plant is usually more cost-effective than using a stationary , especially if you only need to recycle materials for temporary projects. Investing in a stationary is a major decision, and stationary plants have a very low resale value in comparison.

In summary, a mobile aggregate recycling plant is a more flexible, time-saving, environmentally friendly and cost-effective solution for most projects. The threshold for getting started is also much lower because you can easily test materials with a mobile plant and you don't risk any big, bad investments.

End-of-life tires for cars, trucks, planes and heavy vehicles are among the most difficult types of waste to recycle. An impossible task for other crushers with the same fuel efficiency and capacity, but TANA's high torque makes it possible to shred tires to a very homogeneous particle size - in just one pass! In addition, most metals can be separated during the shredding process.

New rubber products

End-of-life tires and tire products can be used productively in many different ways, such as

- Manufacture of new rubber products such as soft surfaces and conveyor belts.

- Alternative fuel source for energy and cement producers

- Brake pads and other rubber products create more emissions and cost more money.

Recycling mattresses is a more difficult job

Mattress recycling is an effective way to turn waste into a valuable resource. The material in mattresses that is usually landfilled can instead be given new opportunities through recycling but it requires a homogeneous particle size, which TANA Shark can provide.

More steps in the recycling process

After sorting, there is a sequence of reuse, recycling, energy recovery and landfill. Adapted and efficient sorting enables a higher recycling rate in the next steps.

Reuse: Some materials can be reused in a new building or construction. For example, bricks and concrete can be crushed and used as fill material in new buildings or roads.

Recycling: Materials that cannot be reused can be recycled. For example, metal and wood can be recovered and used to make new products.

Energy use: Some materials that cannot be recycled or reused can still be used for energy purposes through incineration.

Landfill: The last option is to dispose of the material in a waste facility. However, this is not the best option as it increases the amount of waste in landfills.

How many tons of waste are generated in construction and demolition in Sweden annually?

According to statistics from Avfall Sverige, the country's trade organization for waste management, in 2019 there was approximately 7.5 million tons of waste from construction and demolition activities in Sweden. It is important to recycle as much of this waste as possible to reduce the burden on the environment and to save natural resources.

Which construction wastes have the greatest impact on the environment?

There are different types of construction waste that can have a greater or lesser impact on the environment depending on how they are managed and recycled. However, some of the most common types of construction waste that can have a major impact on the environment are:

Eligibility and registration 

Shareholders who wish to participate in the general meeting shall: 

be entered in the share register maintained by Euroclear Sweden AB on Tuesday, January 17, 2023 (for nominee-registered shares, see also "Nominee-registered shares" below),  

notify the Company no later than Thursday, January 19, 2023 at the address Norditek Group AB, Stora Åvägen 21, 436 34 Askim or by e-mail: info@Norditek.se. The notification should state the shareholder's name, personal or organization number, address and telephone number, shareholding and any assistants. 

Information provided at registration will be processed and used only for the purpose of the meeting. See below for further information on the processing of personal data. 

Fiduciary registered shares 

In order to be entitled to participate in the meeting, a shareholder who has had his/her shares registered in the name of a nominee must, in addition to registering for the meeting, register the shares in his/her own name so that the shareholder will be included in the presentation of the share register as of Tuesday 17 January 2023. Such registration may be temporary (so-called voting right registration) and is requested from the nominee in accordance with the nominee's routines in such time in advance as the nominee determines. Voting rights registration made by the nominee no later than January 19, 2023 will be taken into account in the preparation of the share register. 

Ombudsman 

Shareholders to be represented by proxy must issue a written, signed and dated power of attorney. The power of attorney may not be older than one year, unless a longer period of validity is specified in the power of attorney, in which case it may not exceed 5 years. If the power of attorney is issued by a legal entity, a certified copy of the valid registration certificate for the legal entity (or equivalent document for a foreign legal entity) must be attached to the power of attorney. The documents must not be older than one year. 

To facilitate registration, the original power of attorney, certificate of registration and other authorization documents should be received by the Company at the above address well in advance of the meeting.

PROPOSED DECISION

Item 1 - Election of the Chairman of the meeting

The Board of Directors proposes that Göran Nordlund, Chairman of the Board, be elected Chairman of the Meeting.

Item 7 b - Resolution on allocation of the company's profit or loss according to the adopted balance sheet 

The Board of Directors proposes that the Annual General Meeting resolves that the funds at the disposal of the Annual General Meeting be carried forward and that no dividend be paid to the shareholders. 

Item 8 - Determining the number of directors and auditors 

The Board of Directors proposes that the Board of Directors shall consist of five (5) members with no deputies.
The Board of Directors further proposes that an authorized accounting firm shall be appointed as auditor, with no deputy auditors. 

Item 9 - Determination of fees for the Board of Directors and the auditor 

The board of directors proposes that the annual general meeting resolves that board fees of SEK 52,500 (one price base amount 2023) shall be paid to the external board member Nina Modig for the period until the end of the next annual general meeting. Other board members who are also major shareholders in the Company shall not receive any board fees. Furthermore, the board of directors proposes that fees to the auditor shall be paid according to approved invoice. 

Item 10 - Election of the board of directors, deputy directors and auditor 

The board of directors proposes that the annual general meeting decides to re-elect the board members Göran Nordlund, Daniel Carlberg, Eric Johansson, Martin Larsson and Nina Modig and to decide on the re-election of the registered accounting firm Bright Norr AB. Bright Norr AB has announced that if the annual general meeting approves the proposal, the authorized auditor Oskar Hettinger will be the auditor in charge. All for the period until the end of the next Annual General Meeting. 

Item 11 - Resolution on authorization for the Board of Directors to resolve on new issues of shares with or without deviation from the shareholders' preferential rights 

The Board of Directors proposes that the Annual General Meeting resolves to authorize the Board of Directors, for the period until the end of the next Annual General Meeting, on one or more occasions and with or without deviation from the shareholders' preferential rights, to decide on a new issue of shares. The purpose of the authorization is to increase financial flexibility and the Board's scope of action. 

The authorization may be used to issue a maximum of ten (10) percent of the total number of outstanding shares in the Company at the time of the issue decision. 

The issue price shall be determined on market terms. 

The reason for the deviation from shareholders' preferential rights is that newly issued shares or the amount raised in a new share issue can be used as payment for the acquisition of businesses, companies or shares in companies. 

The issue may be made in cash and/or against payment in kind and/or through set-off. 

The board of directors, or the person appointed by the board of directors, shall otherwise be entitled to make such amendments to the above resolution as may be necessary in connection with its registration and to take such other measures as are necessary to implement the resolution.

Item 12 - Resolution to establish a warrant program for senior executives and key employees.

The Board of Directors proposes that the meeting resolves to introduce an incentive program. The warrant program means that the company issues a maximum of 350,000 warrants to the wholly-owned subsidiary Norditek Produktion AB, which entitles the holder to subscribe for a maximum of 350,000 shares in the company with the right and obligation for Norditek Produktion AB to handle the warrants in accordance with the warrant program. 

Subscription of shares under the option program shall take place during the period from 1 February 2026 up to and including 28 February 2026. Upon subscription of shares, the share capital will increase by a maximum of SEK 35,000. 

The subscription price for shares subscribed for by virtue of the warrants, as described above, shall be 150% of the average volume-weighted share price on January 1, 2023 and January 30, 2023.

Norditek will publish the subscription price before the first day of the exercise period. 

Norditek Produktion AB shall offer senior executives and certain key personnel to acquire the warrants at market price no later than February 28, 2023, which will be determined by valuing the warrants in accordance with the Black & Scholes valuation model. 

The subscription price shall be paid in cash no later than March 30, 2023.

As reasons for deviating from the shareholders' preferential rights, the Board of Directors invokes the following: 

Option programs contribute to higher motivation and commitment among employees and strengthen the ties between the employees and the company. A long-term commitment of the participants is expected to increase the interest in the business and the development of the company's results. Furthermore, it is the Board's assessment that 

The Option Program will contribute to the possibilities to recruit and retain knowledgeable and experienced employees and is expected to increase the employees' interest in the business and the development of the company's results. Overall, it is the Board's assessment that the Option Program will benefit both the employees and the company's shareholders through an increased share value. 

The board of directors further proposes that the meeting authorizes the board of directors, or the person appointed by the board of directors, to make minor changes to the above resolution that may be required for registration with the Swedish Companies Registration Office.

Majority requirements

A valid resolution to authorize the Board of Directors to issue new shares (item 11) above requires approval by at least two thirds (2/3) of both the votes cast and the shares represented at the Annual General Meeting.

A valid resolution to authorize the board of directors to resolve on a warrant program (item 12) above requires approval by at least nine tenths (9/10) of both the votes cast and the shares represented at the annual general meeting. 

Number of shares and votes 

At the time of the issuance of this notice, the total number of shares and votes in the Company amounts to 12,637,727.

New products through simple methods

For example, we can use simple methods to obtain very fine sand and macadam products from the excavated material. With a mobile washing plant, it is easy to remove fine silt and sediments that cause problems with the use of the material.

Contaminated excavated soil

If the pulp does not contain too complex contaminants, it is both easy and valuable to recycle. For simpler contaminants, Norditek has several different problem solvers to solve the task. For example, recycling contaminated sand is often simple and provides a great benefit, as the possibility of making new extractions of sand becomes more limited.

The advantage of a mobile facility

A mobile recycling plant for excavated material requires a relatively small investment and at the same time provides greater flexibility as the plant can be adapted to the composition of the excavated material.

Different methods for different excavation materials

Washing makes it possible to extract very small fractions.

When dry washing is not enough, a plant from Terex Washing Systems is a good investment. The plants can handle muddy and sticky masses and obtain very small fractions. It is possible to obtain fractions down to 0.1 mm.

New mining results in unnecessarily high climate impact

Recycling the largest flows of excavated soil in society is a priority. In 2020, Sweden generated 14.6 million tons of construction and demolition waste according to the Swedish Environmental Protection Agency, so the need for effective sorting methods is great.

Washing

For the recycling of excavated material and the recycling of aggregates, there are solutions with mobile washing plants. These plants can deal with muddy and sticky materials and obtain very small fractions. Mobile solutions make it possible to recycle excavated material also for more people as the investment is smaller.

Wind sifting

Excavated material often contains organic matter, which can be effectively separated using wind sifting. the wind shifter it possible to separate lighter materials from heavier ones; therefore, in addition to excavated material, construction waste containing concrete, wood, insulation, plastic, and more can be effectively sorted using wind sifting. Wind sifting involves sorting materials based on their aerodynamic properties.

Density separation

Density separation with a water bath separates materials by allowing materials to sink or float through a water flow. For example, in a construction waste, the water bath separates inert from wood as they have different buoyancy. At the same time, the water bath performs a lighter wash. Density separation is relevant for many different types of materials such as industrial, construction and demolition waste, but also for waste sand and others. The water bath is developed and adapted to work together with a windshifter which allows it to produce three clean fractions with high capacity.

Magnetic and non-magnetic

When demolishing old buildings, there is a lot of metal to recycle. The metal is found in taps, pipes, brass handles and much more. Metal that is magnetic is relatively easy to recycle, while non-magnetic metal is more difficult to separate from the waste. This is where Our technology comes in, with Our eddy current magnet you can separate and recycle all metal from old buildings. The technology can also be applied to waste that has already been burned in a heating plant.

Sifting

Screening is a basic method of sorting materials into different material sizes. Sifting, or Screening plants, divides the material into two or more size groups. In a construction waste facility, pre-crushing is often used to facilitate sorting. Crushing involves the breaking up of solid materials.

By developing and adding new modules, we at Norditek continue to create new opportunities in recycling. The flexibility of our facilities simply creates more opportunities to recycle construction waste.

wood

Wood is one of the easier materials to recycle from construction waste. Once all contaminants are removed from the wood fraction, the wood can be reused for furniture or building materials if the wood is unpainted. Alternatively, it can be recycled for energy recovery by burning it in, for example, a heating plant.

Plastic

Plastics found in mixed construction waste can be separated today by simply blowing the plastic away with a windshifter. Purified plastic streams are generally difficult to recycle, so they usually go on to energy recovery. At the same time, separated plastic waste can make the rest of the waste possible to recycle.

Concrete

Recycling of concrete is an area where technology is developing and where we at Norditek have an ongoing test project right now. Concrete waste can come from houses to be demolished or waste from the concrete industry. Residual materials from industrial processes can be recycled as aggregates or as additives in new concrete. The latter is what we are currently developing.

Metal

Metals in a construction waste can be separated with magnets and eddy current magnets, depending on whether they are magnetic or non-magnetic. With the very powerful eddy current magnets we use, it is now possible to separate even small particles of non-magnetic metals. Metal can be recycled almost any number of times.

Waste material

When talking about the recycling of construction waste, one can also include waste materials from new construction. Waste material can either be reused or, as in the case of plasterboard waste, the material can be put back into new construction. 

These were some examples of materials that can be recycled from construction waste.

You are leaving the automation industry and the role of Nordic Aftermarket Manager to help us at Norditek, why? 

- The recycling industry is very exciting right now and the aftermarket has become very important for Norditek, both because it is growing steadily and because the customer expects the right service and support without hassle. Here is an exciting challenge to create something really good, together with driving and developing spare parts sales. It is also interesting to work with the circular transition in a company with a lot of forward thinking.

How do you think a really good aftermarket works?

- Good aftersales starts with a really good understanding of customer needs. This is needed to be able to plan ahead and deliver the right service and spare parts when needed. For Our , machines are often consistent as the operating environment is predictable so there is great potential to book and plan better around service and support. It's a simple thing to start with. In the longer term, there is a lot to do in the area, at Volvo I worked a lot in the predictive with connected services, vehicle control and driver behavior. At Norditek, we have good opportunities to use more available data to predict and prevent downtime and optimize production.

Okay, so how do we make it happen?

- I will place great emphasis on familiarizing myself with and understanding the customer's various problems so that I can get out on the road and meet customers. Then it's about ensuring a high degree of personal responsibility among employees and making sure that all the experts, service partners and technicians, have the right conditions. We have to make wise choices; for example, what is technically critical is not always the most commercially critical. We will also improve the overall experience with things like chat support, e-commerce and getting answers to your questions directly. Today, industrial companies have almost the same expectations as consumer companies to deliver a really good customer experience; customers have become accustomed to a certain level. And if you can't deliver that, you at least need to be good at explaining why it's not possible. 

You have just returned from the industry's largest trade fair, Bauma. As a newcomer to the industry, what are your impressions?

- Everyone is talking about recycling! Even those who traditionally only blast and crush, industries such as concrete and the mining industry, are starting to talk about recycling instead of virgin mining, which is very positive considering all the emissions from new mining. Otherwise, it was a huge fair, very lavish and an incredible number of machines in place. It was also nice to see that user-friendliness has become more in focus in this industry as well. In the service area, it's all about making it easy to change spare parts and easy to monitor wear and tear. It is becoming more educational and clearer how and when you change parts, it should be easy to do the right thing, which is good.

Finally, did you want to be an aftermarket manager when you were young?

- No, it was not obvious. I chose between firefighter and that.

The beneficial filter sand used by water treatment plants is a good example of sand that is increasingly being recycled. Its availability is geographically limited, making transportation costs high, but by recycling the sand directly on site, the environmental impact and costs are significantly reduced.

The filter sand can be recycled with the help of Screening plants and washing. By washing the sand, it settles and fine particles with contaminants such as algae form one fraction while clean sand forms another fraction that can be reused with full capacity.

Sand is also one of the most widely used materials in the construction industry as it is a common component in mixing materials such as cement and concrete. Today, we are working on several different solutions for recycling sand because sand is actually a finite resource that nature does not produce anew. Landfilling sand is often a worse option than recycling it on site as it involves high costs for transportation, landfill fees and the purchase of new sand.

- Thank you!
How does it feel to be here?
- It feels just right. I have already been involved since 2010 under my own management and worked with Norditek. Now my colleague Tomas and I are becoming part of Norditek. It feels very good with everything that is happening in recycling and the environment and there is a good drive and a good team with a lot of cheering here.
What will you be working with at Norditek?
- Now we are going to speed up the production of Norditek's proprietary machines to meet demand. The focus will be on reducing lead times and assembly times and, of course, developing and improving the quality of the products.
What is the most fun thing about your new job?
- It feels really fun to be involved in developing new solutions to problems in recycling, to be involved in figuring out and developing, above all, the production stage but also the products themselves.

- More companies need to realize what can be done with new knowledge and technology. I know that it's possible to make really big cost savings and reduce both transportation and the environmental impact of all the earthworks and construction work that will now be done," says Andreas.

When large companies like Green steels, LKAB, Hybrit, Northvolt invest, it is not only their plants that are involved, but also the surrounding service industries, infrastructure, etc.

- There is a lot that can be done with the residual materials from any work. With our mobile plants, for example, we can transform large parts of the materials directly on site to create new materials for drainage, filling and reinforcement. And that's just the materials in the ground," he says.

With 1000 billion to be invested in Norrland in the near future, the only limit to what can be done is the imagination.

- There's a lot of talk about huge investments in green technology and that's great, but there's also a lot to think about to make the implementation as green as possible. With our flexible problem solvers, we have access to technology that can solve many customer needs and transform materials directly on site. This can save a lot of money and the environment when done correctly. So now it's just a matter of us being on hand up there and providing information about all the possibilities. Therefore, we are now also establishing ourselves in Norrbotten, starting from Boden, to be able to showcase our mobile recycling facilities.

Thursday to Saturday, August 25-27, Andreas is also present at Norditek's stand during Load Up North in Boden.

The shareholders of Norditek Group AB, 559307-6986, (the "Company" or "Norditek"), with its registered office in Gothenburg, are hereby invited to an extraordinary general meeting on Monday, August 1, 2022.

INFORMATION ON ADVANCE VOTING

The extraordinary general meeting will be conducted through mandatory advance voting (postal voting) pursuant to the Act (2022:121) on temporary exceptions to facilitate the execution of general meetings in companies and other associations. It will therefore not be possible to attend the extraordinary general meeting in person or by proxy. Information on the resolutions adopted at the Extraordinary General Meeting will be published on the same day as the Extraordinary General Meeting as soon as the outcome of the voting is finally compiled.

NOTIFICATION OF ADVANCE VOTING, ETC. 

Notification

In order for shareholders to be entitled to participate in the extraordinary general meeting by voting in advance, shareholders shall: 

• be recorded as a shareholder in the share register prepared by Euroclear Sweden AB as of Friday, July 22, 2022 (for nominee registered shares, see also "Nominee registered shares" below), and
• register by casting their advance vote in accordance with the instructions below so that the advance vote is received by Norditek no later than Friday, July 29, 2022.

Fiduciary registered shares

In order to be entitled to participate in the meeting, a shareholder whose shares are registered in the name of a nominee must, in addition to registering for the meeting, register the shares in his or her own name so that the shareholder is included in the presentation of the share register as of Friday, July 22, 2022. Such registration may be temporary (so-called voting rights registration) and is requested from the nominee in accordance with the nominee's routines in such time in advance as the nominee determines. Voting rights registration made by the nominee no later than Tuesday, July 26, 2022 will be taken into account in the preparation of the share register.  

Advance voting

The shareholders may exercise their voting rights at the general meeting only by voting in advance, so-called postal voting in accordance with section 22 of the Act (2022:121) on temporary exceptions to facilitate the execution of general meetings in companies and other associations.

A special form must be used for advance voting. The form is available at www.norditek.se. The advance voting form is valid as registration for the Extraordinary General Meeting. Proxy forms for shareholders who wish to vote in advance by proxy will also be available on the Company's website.

The completed form must be received by Norditek no later than Friday 29 July 2022. The completed form shall be sent to the address: Norditek Group AB, Stora Åvägen 21, 436 34 Askim. The completed form may also be submitted electronically and shall then be sent to info@norditek.se. If the shareholder is a legal entity, a registration certificate or other authorization document must be attached to the form. The same applies if the shareholder votes in advance by proxy. The shareholder may not provide the advance vote with special instructions or conditions. If so, the vote (i.e. the advance vote in its entirety) is invalid.

Proposal for a decision  

Item 1 - Election of the Chairman of the meeting

The board of directors proposes that Göran Nordlund, or, if he is unable to attend, the person appointed by the board of directors instead, shall be elected chairman of the extraordinary general meeting.

Item 2 - Election of one or two verifiers

The board of directors proposes that Carl Schneider, or in case of impediment, the person(s) designated by the board of directors instead, is appointed to verify the minutes of the meeting together with the chairman. The verifying person's task also includes checking the voting list and that received advance votes are correctly reflected in the minutes.

Item 3 - Establishment and approval of the voting list

The voting list proposed to be approved by the General Meeting is the voting list prepared by the Company, based on the share register of the General Meeting and the advance votes received, and verified and approved by the person approving the minutes. 

Item 6 - Resolution on A) adoption of a long-term incentive program for senior executives and key employees in the group and B) resolution on a directed issue of warrants to a wholly-owned subsidiary and approval of transfer of warrants to senior executives and key employees in the group.

A. Implementation of Option Program 2022

The board of directors of the Company proposes that the extraordinary general meeting resolves to establish a long-term incentive program (Option Program 2022) aimed at senior executives and key employees in the group in accordance with the main terms and guidelines set out below.

Background and reasons

The Company's board of directors is of the opinion that the incentive program contributes to higher motivation and commitment among the employees and strengthens the ties between the employees and the Company. Furthermore, it is the board of directors' assessment that Option Program 2022 will contribute to the possibilities to retain and recruit knowledgeable and experienced employees and is expected to increase the existing and future employees' interest in the business and the earnings development of the Company. Overall, it is the board of directors' assessment that Option Program 2022 will benefit both the employees and the Company's shareholders through an increased share value.

Option program 2022

The board of directors proposes that the extraordinary general meeting resolves on a directed issue of a maximum of 300,000 warrants ("Warrants") to the wholly-owned subsidiary Norditek Produktion AB (the "Subsidiary") and approves the subsequent transfer of a maximum of 300,000 Warrants to existing and future senior executives and key personnel in the group. 

Each Warrant entitles the holder to subscribe for one (1) new share in Norditek Group AB (publ) at a subscription price of SEK 14.50 during the period from August 1, 2025 up to and including August 31, 2025. The subscription price shall be paid in cash or by set-off. 

The exercise price and the number of shares that each Warrant entitles to subscription for shall be recalculated in the event of a split, consolidation, new issue of shares, etc. in accordance with market practice.

Participants in Option Program 2022 shall, after an offer from the Company no later than 31 August 2022, notify the Company of the number of Warrants that the participant wishes to acquire. The Warrants shall be transferred to the participants at the market value of the Warrants in accordance with the Black & Scholes valuation model. 

In connection with the grant of the Warrants, the Board of Directors shall have the right to make adjustments to accommodate organizational changes and reserve the right to repurchase Warrants if the participant in turn wishes to retransfer the Warrants.

At the request of a participant, the Company shall have the right, but not the obligation, to acquire at market price such number of Warrants as will enable the participant to exercise the remaining Warrants to subscribe for shares, whereby the subscription proceeds will be paid by way of set-off against the claim on the divested Warrants. 

Holders of Warrants whose employment ceases or who wish to sell their Warrants shall offer the Company to acquire the Warrants at the lower of the premium paid for the Warrants at the time of acquisition and the market value.

Allocation of Warrants

Option program 2022 shall include senior executives and key personnel in the group as set out below. 

The company has just hired an aftermarket manager who will be offered to acquire 90,000 Warrants. As the Company is in an expansion phase in a competitive labor market, the remaining Warrants may be offered in connection with internal and external recruitment of key personnel.

Market value

The market value of the warrants will be calculated using the Black & Scholes valuation model.

Costs of the incentive scheme

The Warrants transferred to the participants are transferred at a price corresponding to the market value of the Warrants, which means that no salary costs or social security contributions shall arise for the Norditek group. 

Costs for financial and legal advice will be added in connection with Option Program 2022 with approximately SEK 40,000.

Since the Company's costs for Option Program 2022 will be relatively limited, the Board of Directors has decided not to propose that the Extraordinary General Meeting resolves on measures to cover these costs.

Dilution
Based on the existing number of shares in the Company, Option Program 2022, upon exercise of all 300,000 Warrants, means that the share capital can increase by a maximum of SEK 30,000 and a maximum dilution corresponding to approximately 2.3 percent of the outstanding capital and number of votes in the Company at the time of the issuance of the notice. 

Preparation of the proposal

Option Program 2022 has been prepared by the Board of Directors in consultation with external advisors. The Board of Directors, or a committee specifically established by the Board of Directors, shall be responsible for the detailed design and management of the terms and conditions of Option Program 2022, within the framework of the said terms and guidelines including provisions on recalculation in the event of an intermediate bonus issue, split, rights issue and/or other similar events. The Board of Directors shall also be entitled to make adjustments to meet specific market conditions. The Board of Directors shall also be entitled to make other adjustments if there are significant changes in the group or its business environment that would mean that the decided terms and conditions for Option Program 2022 no longer meet its purposes.

Other ongoing share-based incentive programs

At the general meeting on 30 August 2021, an incentive program aimed at employees was adopted. The program comprises 300,000 warrants and each warrant entitles the holder to subscribe for one share at a subscription price of SEK 14.50. The warrants can be exercised during the period 1 November 2024 to 30 November 2024. The warrants can be exercised during the period from 1 November 2024 up to and including 30 November 2024. The warrants were transferred at market value in accordance with the Black & Scholes valuation model at SEK 0.56 per Warrant. Upon full exercise of the warrants, a dilution of 2.3 percent will occur.

The general meeting on 30 August 2021 adopted an incentive program aimed at an individual board member. The program comprises 50,000 warrants and each warrant entitles the holder to subscribe for one share at a subscription price of SEK 16. The warrants can be exercised during the period from November 1, 2025 up to and including November 31, 2025. The warrants were transferred at market value in accordance with the Black & Scholes valuation model at SEK 0.581 per warrant. Full exercise of the warrants will result in a dilution of 0.39 percent.

B. Directed issue of Warrants, Series 2022/2025, to a wholly owned subsidiary and approval of transfer of these to employees under Option Program 2022

The board of directors proposes that the extraordinary general meeting resolves to issue a maximum of 300,000 Warrants, as a result of which the Company's share capital may increase by a maximum of SEK 30,000 (assuming the current quota value). The following conditions shall apply.

1. The right to subscribe for Warrants shall, with deviation from the shareholders' preferential rights, be granted to the subsidiary Norditek Produktion AB, with the right and obligation for the Subsidiary to handle the Warrants in accordance with the terms and conditions of Option Program 2022. The Subsidiary shall, according to instructions from the Company's board of directors, be entitled to transfer the Warrants to appropriate participants in Option Program 2022. 
2. Each Warrant entitles the holder to subscribe for one (1) new share in Norditek Group AB (publ) at a subscription price of SEK 14.50 during the period from August 1, 2025 up to and including August 31, 2025. However, the subscription price may never be less than the quota value of the share. In the event the subscription price exceeds the quota value of the shares, the excess amount (the premium) shall be included in the unrestricted share premium reserve in the Company's balance sheet. The subscription price shall be paid in cash or by set-off. The Board of Directors is entitled to extend the time for subscription and payment.
3. The newly subscribed shares carry the right to dividends for the first time on the record date for dividends that occurs immediately after the new shares have been registered with the Swedish Companies Registration Office and the shares have been entered in the share register of Euroclear Sweden AB.
4. The Warrants shall be issued at a subscription price corresponding to the market value of the Warrants in accordance with the Black & Scholes valuation model. Subscription of Warrants shall take place on a subscription list no later than August 31, 2022. However, the board of directors shall be entitled to extend the subscription period.

The complete terms and conditions for the Warrants shall otherwise apply to the Warrants. The subscription price for subscription of a new share by virtue of a Warrant as well as the number of shares that each Warrant entitles the holder to subscribe for may be subject to adjustment in accordance with the terms and conditions of the Warrants.

Warrants held by the Subsidiary and not transferred as described above or repurchased from participants may be canceled by the Company following a decision by the board of directors of the Company with the consent of the board of directors of the Subsidiary. Cancellation shall be notified to the Swedish Companies Registration Office for registration.

Over-subscription is not possible.

The reason for the deviation from the shareholders' preferential rights is to implement the incentive program for the recruitment of senior executives and key employees.

The board of directors also proposes that the extraordinary general meeting resolves to approve that the Subsidiary, within the framework of Option Program 2022, according to instructions from the Company's board of directors, may transfer Warrants to participants in Option Program 2022 and handle Warrants in accordance with Option Program 2022. Transfer of Warrants shall be made in accordance with the terms and conditions above. 

Majority requirements and specific authorizations 

The Board of Directors' proposals for resolutions according to A-B are conditional on each other and are therefore adopted in one context. The resolution is subject to Chapter 16 of the Swedish Companies Act and requires the support of shareholders representing at least nine tenths (9/10) of both the votes cast and the shares represented at the Extraordinary General Meeting.

The Board of Directors proposes that the Extraordinary General Meeting instructs the Board of Directors to execute the resolution above and to ensure that the Warrants are transferred in accordance with what is stated above. 

The board of directors further proposes that the extraordinary general meeting instructs the board of directors or the person appointed by the board of directors to make the minor adjustments to the above-mentioned proposal for resolution that may prove necessary in connection with registration with the Swedish Companies Registration Office.

OTHER INFORMATION

Number of shares and votes

At the time of issue of this notice, the total number of shares and votes in the Company amounts to 12,637,727. The Company holds no own shares.

Documents according to the Swedish Companies Act are available on the Company's website www.norditek.se. and office with the address Norditek Group AB, Stora Åvägen 21, 436 34 Askim and will be sent free of charge to shareholders who request it and state their postal or e-mail address.

The Board of Directors and the CEO shall, if any shareholder so requests and the Board of Directors considers that it can be done without significant harm to the Company, provide information on circumstances that may affect the assessment of an item on the agenda. This is actually the easiest (and most profitable) project in the world for both the customer and the environment - but you don't always explore the possibility of on-site sorting!

This time it was bingo, so instead of quarrying thousands of tons of new rock and running lots of heavy transports, Peter delivered a simple solution where the customer had the old carrier layer converted into a new one directly on site. 

On Monday evening, Norditek received the award for highest quality in the small company category after Affärsvärlden's review of 143 companies. "For us, this quality stamp gives us a boost in our efforts to deliver the highest quality to our customers," says Daniel Carlberg, CEO of Norditek Group.

The jury's justification for the award at Affärsvärlden's IPO of the Year event was that Norditek managed completely without flags in the review prior to last year's IPO, which together with the development of the company after the listing gave the best result in the category.

"The award is a mark of quality over time as society is better off when good companies are given the resources to create wealth and bad companies and practices are exposed." according to Affärsvärlden.

"We thank Affärsvärlden for the award and for the work to highlight important quality factors for companies to develop successfully in the long term. For us, this quality stamp gives us a boost in our efforts to deliver the highest quality to our customers, so that they can drive even faster in the transition to increased recycling and a circular future," says Daniel Carlberg, CEO of Norditek Group.

Now we can recycle even more construction waste. With the new module - Norditek's water bath - in the production line, we can get even more clean fractions from construction waste. Together with Ragn-Sells Häradsudden, we have succeeded in taking the recycling of construction waste another step forward.

The key to the success is a long-term cooperation between Norditek and Ragns-Sells Häradsudden. Sofie Östrem, Section Manager at the plant, explains that: "we work unconditionally together with Norditek to constantly develop how we can recycle more material. It's not that we ask for a specific product, rather we work on the basis of the problem and can test what works and what doesn't work. Once we know what we want from the material, we work step by step to improve and get the best out of the machines. What is not under development is being phased out! This is how we work and we have found a great collaboration with Norditek."

Andreas Pettersson is the new Regional Manager for Mälardalen at Norditek as of March 7. And he believes that Norditek has every opportunity to grow in the market.

What can Norditek offer in Mälardalen that is not already there?

- Having a strong offer is proven, so it's very much about being there to showcase the offer and offering all the ancillary services through a local presence. To begin with, I will build up the local presence with premises and parking spaces for machines. Another important task is also to secure the aftermarket with both spare parts and service partners on site. Having worked all over the country with all kinds of contracting companies, I already have a good network of contacts.

What is the strength of Norditek's offer as you see it?

- Firstly, the flexibility of the facilities required to solve more complex problems, but also the rent/purchase model that allows us to actually come out and test drive materials at the customer's premises before the customer needs to buy the machines. This allows us to show the economics of a project that the customer might not have dared to invest in themselves.

What is your own previous experience with Norditek?

- In several previous positions I have had, I have used Norditek's machines such as screens, crushers, magnets, and so on, so I feel incredibly confident in representing their products and the flexibility available in the mobile plants. There is no question that they are successful in the regions they are active in today, so now it will be incredibly fun to establish the company in Mälardalen and also work further up in Norrland where I come from.

What do you enjoy most about this industry?

- The environmental industry and the waste sector are incredibly interesting at the moment with constant development. Something new is happening all the time and there are lots of difficult but exciting sorting projects that involve separating difficult materials. I like it when you have to think hard to come up with your own unique solutions.

- I also like the close customer contact you get when you meet new people and can help with the right solutions. Getting the customer to see the economics of a project that you may not have thought was possible is extra fun. So working in close cooperation with the customer and developing new solutions in sorting and crushing, processing and refining suits me perfectly. Mobile solutions are also something I have been working on for many years because there are huge savings both in terms of money and the environment. We should not transport material unnecessarily but take care of it at the customer/site instead where possible.

What will be your biggest challenge in the new position?

- Even if we have the technical solutions required and the local presence, it will be a challenge to convince customers of what is actually possible to do. So it's about being able to show what we can do with the material, to turn the traditional sorting process upside down.

How will you do it?

- By showing the value of what can be done. By making customers want to look at new solutions and encouraging them to think more environmentally. But above all, showing the economics of it, that it generates more revenue, because that's when it happens.

As Business Area Manager Aftermarket, you will play an important role in further developing the Aftermarket product range, a business area with great potential. 

You will be responsible for developing the product range with products that optimize and improve customers' machinery. The range consists of wear and spare parts and you are responsible for ensuring that we have the right products in stock at the right purchase price and at the right customer price.

You manage and run the business area together with your team of four, through our service partners around the country and in close cooperation with customers and suppliers. Together you are responsible for developing Our aftermarket into the best in the industry. To succeed, you need to work proactively to deliver the complete solutions that customers demand.

This is a new role at Norditek and you will be involved in shaping it.

Costly production stoppages in municipal heating plants are a common problem across the country. Right now, a municipality in central Sweden is the first to try the technical solution that addresses the problem caused by aluminum packaging in the waste. 

When the aluminum, which arrives at the cogeneration plant via the garbage truck, is fired in the boiler, it melts and flows into the air holes where it solidifies. This means that the entire boiler has to be shut down and the metal knocked out by hand. Such a shutdown can happen several times in a year and cost millions each time. With Our 's technical solution to separate aluminum from, for example, recycled wood, it is now possible to both avoid production stops and to recycle more of the energy-intensive metal.

By adding a powerful eddy current magnet and adapting Norditek's flexible plant to the material flow, all incoming material can be separated and recycled more efficiently. The technology enables metal recycling of small particles of non-magnetic metal (such as aluminum).

Great benefit at the community level

There are over 300 heating plants in Sweden today, many of which have the same problems, which means that the social cost of the loss of production is hundreds of millions. It also means that the amount of aluminum that can be recycled has a significant impact on the recycling rate of aluminum in Sweden. This recycling saves 95% of the energy otherwise needed to create new aluminum.

It's not just about aluminum

The problem also arises with waste coming from the construction side, where there may be brass and other metals that present the same challenge to manage.

The advantage of Norditek's flexbila plant is that it is easily adapted to new material flows. If the next batch of waste coming in contains a different metal, plastic or material size, the modular plant can easily be adapted, expanded and optimized for the new flow.

More benefits of the technology

With the help of Screening plants, wind sifters and water bath , Norditek's facilities make it possible to achieve a very far-reaching and efficient recycling of different types of waste. 

The advantage is not only an increased recycling rate, but also reduced transportation and reduced mining operations. Last but not least, it also gives the material owner increased revenues with higher revenues on all end products.

Terex Washing Systems are flexible plant solutions of washing equipment for excavated material and recycling of aggregates. Norditek looks back on a successful collaboration with the Terex group and is pleased to be able to expand the product catalog on the Swedish market with the leading products for establishing smaller production facilities in washing and recycling.

Terex Washing Systems' plants are both flexible and more mobile, which means that they work very well even for smaller production. It is possible to recycle excavated material even for more people because the investment is smaller, mainly because the plant is optimized compared to a larger plant.

Possibility of obtaining very small fractions

The plants can deal with muddy and sticky masses and obtain very small fractions. It is possible to obtain fractions down to 2-4 mm. When dry washing is not enough, a plant from Terex Washing Systems is a good investment.

Our Experience shows that there are major economic and environmental benefits to be gained from increased recycling of excavated material.

Since the handling and excavation of new excavation materials often leads to an unnecessarily high climate impact, the Swedish Public Procurement Agency has recently developed new sustainability criteria for excavation materials that can be used in procurement and project planning.

Hi Niklas! What is most fun about working at Norditek?

- The best part is that we don't just sell machines off the shelf. We solve the customer's problem. Often we can do it in a different way than what the customer asks for and help them with a solution that they don't see themselves, because they don't know that there are lots of different ways to work with the material. It's great to see many different problems that companies have and to be able to help them recycle more material.

So what are customers asking for? 

- For example, a customer may call in and say they want a particular machine. But instead of saying yes, it costs so and so, we say: - sure, what kind of material do you want to run? Since the materials often look different, we would like to see the material, we can do a test run and demo for the customer, adapt the plant and make sure it is good.

What else do you do at Norditek?

- I'm responsible for Norditek's facility in Fjärås, where all the machines going out to the field in southern Sweden land first. I make sure the machines are ready to do the job. Since we do a lot of different jobs, a lot of adaptation is often required. For example, the machines have to go out and sort construction waste and plastic, recycle excavated material, or crush stone. The jobs and problems look different, so it's not always right the first time and if it's not good, we may need to insert a new component. We go out and test or make a start-up, adjust, lab with parameters, adapt a machine or the whole concept.

What else do you do in services?

- We work with service all around Sweden as it is Our market. The country is far and we have offices in Umeå and Gothenburg with close cooperation between us and our service partners. In the service part, I also work with the development of local production, delivering spare parts, managing our telematics system with connected machines and more. But above all, solving customers' problems in the field. This makes it a very versatile job with a lot of problem solving. 

Now that Norditek is recruiting, who do you think the job is for? 

- Someone technically interested, who thinks the recycling industry is an interesting place to be. We talk a lot about solving problems and there are short decision paths and easy to get help from colleagues in a smaller organization so it's not cumbersome. If you like to sit at the computer and talk to customers and solve problems, it's perfect. And if you like to develop the way we work, that opportunity is also available.
