Göran Nordlund

Chairman of the Board since: 2021

Background and experience: Göran has been running investment activities for 20 years through his own company, Fore C Investment. He has invested, and been active chairman of the board, in several entrepreneurial companies that through organic and acquisition-driven growth over time have become large listed companies, including Opus Group AB, Hexatronic Group AB, Cellink AB and Transtema Group AB.

Education: MSc. Electrical Engineering from Chalmers University of Technology, and studies in business administration at the School of Business, Economics and Law at the University of Gothenburg.

Other significant assignments: Fore C Investment Holding AB, CEO and Chairman of the Board; Transtema Group AB, Chairman of the Board; Sustainion Group AB, Chairman of the Board; Aktiebolaget Ebeco, Chairman of the Board.

Shareholding and independence: 2 610 000, via company. Dependent in relation to the company's major shareholders and independent in relation to the company and its management.

 

Martin Larsson

Board member since: 2021

Background and experience: Has for the past twelve years as CEO run the family company Ebeco AB. Martin has previously worked as a board member of Starke Arvid AB and the listed company Vadsbo Switchtech.

Education: Master's degree in Business Administration and Economics at Lund University, and graduate of the Leadership Development Program at Harvard University.

Other significant assignments: Aktiebolaget Ebeco, CEO and board member; EMK Holding AB, board member; EMK Fastigheter, board member.

Shareholding and independence: 2 590 909, via companies. Dependent in relation to the company's major shareholders and independent in relation to the company and its management.

Nina Modig

Board member since: 2021

Background and experience: Nina has previous experience from Skanska as a business developer, analysis and strategy consultant and researcher at WSP Group and management consultant at Prové. Today, Nina is the CEO of her own company Create Flow Sweden AB, which works with logistics and change management.

Education: MSc in Industrial Engineering and Management from Linköping Institute of Technology and a PhD in Logistics and Transport from Chalmers University of Technology.

Shareholding and independence: 7 200 shares and 50 000 options.Independent in relation to the company's major shareholders and its management.

 

 

Daniel Carlberg

Board member since: 2021 (active in the Company since 2013 and the period 2005-2010).

Background and experience: Throughout his professional life, Daniel has been active in the recycling industry with a focus on selling machines that can create value from waste. Daniel has previously worked with sales and purchasing at Pon Equipment AB, as well as the self-started consulting company in recycling, Clever Solutions.

Education: Development Engineer, Halmstad University and IT University (Chalmers/Gothenburg University).

Shareholding and independence: 4 000 000, via company. Dependent in relation to the company's major shareholders and independent in relation to the company and its management.

Daniel Carlberg

Chief Executive Officer since: 2021 (active in the Company since 2005).

Background and experience: See above.

Philip Bergendahl

Head of Marketing since: 2021

Background and experience: Philip has broad experience in marketing from the agency and marketing side. Previously as a marketing manager at a management consultancy and the last five years as a consultant focusing on brand and communication strategy and digital development.

Education: Master of Business & Administration, Gothenburg School of Economics. 

Shareholding and independence: 20 031 shares and 140 000 options.Independent in relation to the company's major shareholders and its management.

Emanuel Hauptmann

Aftermarket manager since: 2022

Background and experience: Emanuel came from the role as Aftermarket Manager at Kuka Robotics where he successfully led the work of building the business area. Previously he was at AB Volvo where he worked with the transition to connected services and a developed vehicle control.

Education: Engineering studies in Mechanical Engineering at Chalmers University of Technology.

Shareholding and independence: 3 500 shares and 190 000 options.Independent in relation to the company's major shareholders and its management.

Johan Marquardt

Product manager since: 2022

Background and experience: Johan has worked with Norditek since 2010 as a subcontractor. Johan has 23 years of experience in industry and production, of which the last 15 years in a leading position.

Education: Secondary school education in electrical engineering. 

Shareholding and independence: 90,000 options.Independent in relation to the company's major shareholders and its management.

Bernice Wellsted

CFO since: 2021

Background and experience: Bernice has extensive experience in financial management and group accounting in senior positions. Auditing background with history from EY and Deloitte. Previous experience with public companies such as SKF, Opus Group AB and now Sustainion Group.

Education: Bachelor of Accounting Sciences from the University of South Africa and CPA, State of Wisconsin.

Shareholding and independence: 20,000 options.Independent in relation to the company's major shareholders and its management.

ARTICLES OF ASSOCIATION FOR NORDITEK GROUP AB (publ)

  • 1 Company name

The company name is Norditek Group AB. The company is public (publ).

  • 2 Seat of the Board

The Board has its seat in Gothenburg.

  • 3 Activities

The company shall conduct business in the form of owning and managing movable property, mainly in the form of shares in subsidiaries, and conduct activities compatible therewith.

  • 4 Share capital and number of shares

The share capital shall be not less than SEK 1 000 000 and not more than SEK 4 000 000. The number of shares shall be not less than 10,000,000 and not more than 40,000,000.

  • 5 Management Board

The Board shall consist of a minimum of three (3) and a maximum of seven (7) members with a minimum of zero (0) and a maximum of three (3) alternates.

  • 6 Auditors

The company shall have 1-2 auditors with a maximum of two (2) deputy auditors or a registered audit firm.

  • 7 Notice of general meeting

Notice of a general meeting shall be published in Post- och Inrikes Tidningar and on the company's website. At the time of the notice, information that the notice has been published in Dagens Industri. The notice shall immediately and without cost to the recipient be sent by mail to those shareholders who request it and state their postal address.

  • 8 Notification of participation in general meetings

A shareholder who wishes to participate in a general meeting shall notify the company on the day specified in the notice of the general meeting. This day may not be a Sunday, other public holiday, Saturday, Midsummer Eve, Christmas Eve or New Year's Eve and may not fall earlier than the fifth weekday before the general meeting. If a shareholder wishes to bring assistants to the general meeting, the number of assistants (not more than two) shall be stated in the notification.

  • 9 Agenda of the Annual General Meeting

The AGM is held annually within six months of the end of the financial year.

The Annual General Meeting shall include the following items.

  1. Election of the chairman of the meeting,
  2. Preparation and approval of the voting list,
  3. Approval of the agenda,
  4. Election of one or two persons to approve the minutes,
  5. Examination of whether the meeting has been duly convened,
  6. Presentation of the annual accounts and the auditor's report and, where applicable, the consolidated accounts and the auditor's report for the group,
  7. Decision on
  8. (a) adoption of the profit and loss account and balance sheet and, where appropriate, the consolidated profit and loss account and consolidated balance sheet,
  9. b) allocation of the company's profit or loss according to the adopted balance sheet,
  10. (c) discharge the members of the Board of Directors and the Managing Director from liability, where applicable,
  11. Determining the number of directors and the number of auditors to be elected by the general meeting,
  12. determination of the fees of the Board of Directors and, where appropriate, the auditors,
  13. Election of the board of directors and audit firm or auditors,
  14. Any other matter that is the responsibility of the meeting under the Companies Act or the Articles of Association.
  • 10 Financial year

The company's financial year shall run from September 1 to August 31.

  • 11 Reconciliation reservations

The company's shares shall be registered in a CSD register in accordance with the Central Securities Depositories and Financial Instruments Accounts Act (1998:1479).

  • 12 Collection of proxies and postal voting

The Board may collect proxies in accordance with the procedure set out in Chapter 7, Section 4, second paragraph of the Swedish Companies Act. 4 § second paragraph of the Swedish Companies Act (2005:551).

The board of directors may decide before a general meeting that shareholders may exercise their voting rights by post before the general meeting.
